Cancellation Policy
EXCLUSIVE SHORT-TERM MASTER LICENSE AND DISTRIBUTION AGREEMENT This Exclusive Short-Term Master License and Distribution Agreement ("Agreement") is entered into as of ("Effective Date"), by and between Dominic Pruitt p/k/a "Dominic. Dominic.", operating through Bullet-N-Flyte Music, LLC ("Licensor" or "Artist"), and Label / Distributor ("Licensee" or "Label"). 1. GRANT OF RIGHTS & DELIVERABLES 1.1 Licensed Masters: Licensor hereby grants to Licensee the exclusive, limited-term right to distribute, market, and license the commercial audio recording(s) specified below (collectively, the "Master Recordings"): Title of Track(s) / EP: Artist Name: Dominic Pruitt p/k/a "Dominic. Dominic." Format: [Single / EP] 1.2 Territory: The territory covered by this Agreement shall be Worldwide ("Territory"). 1.3 Scope of Rights: Rights granted to Licensee are strictly limited to digital distribution, streaming performance, and associated promotional marketing. All rights not expressly granted herein are fully reserved by Licensor. 2. TERM & COMMENCEMENT TRIGGER 2.1 Fixed Term: The term of this Agreement shall be exactly nine (9) months (271 calendar days) ("Term"). 2.2 Commencement Trigger Date: The Term shall commence immediately upon the Effective Date (execution of this Agreement and complete delivery of the Master Recordings and metadata), NOT upon the commercial release date of the Master Recordings. 2.3 Definite Expiration: The Term shall automatically expire on [Insert Date 9 Months From Execution] without exception, extension, or requirement of judicial intervention. 3. RELEASE COMMITMENT & ANTI-SHELVING PROTECTION 3.1 Release Schedule: Licensee agrees to commercially release the Master Recordings across all major digital service providers (DSPs) within [30 or 45] calendar days of the Effective Date ("Mandatory Release Period"). 3.2 Anti-Shelving Remedies: If Licensee fails to commercially release the Master Recordings within the Mandatory Release Period, Licensor reserves the right to terminate this Agreement immediately upon written notice. Upon such termination, all rights granted herein revert instantly to Licensor, and all fees/advances paid to Licensor shall be retained in full as liquidated damages. 4. FINANCIAL TERMS, FLAT FEE, ADVANCE & RECOUPMENT MECHANICS 4.1 Non-Recoupable Guaranteed Flat Fee: Licensee shall pay Licensor a direct, guaranteed, non-recoupable flat licensing fee of Five Thousand Dol
